General terms and conditions

1. The notary practice is conducted through a practice company namely: Van Gogh Notarissen & Adviseurs B.V. Also visible on the internet under www.vgogh.nl | www.frankrijknotaris.nl      

2. Van Gogh Notarissen & Adviseurs is a trade name of Van Gogh Notarissen & Adviseurs B.V. and Van Gogh is a trademark of Van Gogh Beheer B.V. registered with the Benelux Trademark Office and is used by Van Gogh Notarissen & Adviseurs B.V. with permission. All assignments are only accepted to the exclusion of articles 7:404 and 7:407 paragraph 2 of the Civil Code. Van Gogh Notarissen & Adviseurs B.V. acts as sole contractor. If the assignment is given by a natural person on behalf of a legal entity then the assignment shall be deemed to have been given by the natural person in part. Receipt of a draft deed drawn up on behalf of Van Gogh Notarissen & Adviseurs at the client's request implies that an assignment has been granted to Van Gogh Notarissen & Adviseurs, insofar as no order confirmation has been received from the client.

3. The notary's liability shall be limited to the cover for which professional liability insurance has been taken out, plus any excess. The applicable Rules of Professional Conduct include minimum standards that the insurance must meet. The notary is a member of the Royal Notarial Association (KNB) and complies with the insurance obligation prescribed by the KNB.

4. The described limitation of liability shall also apply in case the liability follows from the improper functioning of the equipment, software, data files, registers or other items used by the notary in the execution of the assignment, none excepted.

5. The activities shall be performed by the civil-law notary with due observance of the statutory and other regulations applicable to him as a civil-law notary. Certain services to be performed by the civil-law notary are covered by the Money Laundering and Terrorist Financing (Prevention) Act (WWFT). The (candidate) civil-law notary is obliged to report under the Act on the Reporting of Unusual Transactions (Wet Melding Ongebruikelijke Transacties) in certain cases without notifying the client in advance.

6. When engaging third parties, the Notary shall consult with the Client to the extent possible. The Notary shall not be liable for shortcomings of third parties so engaged.

7.       Regarding information on financial implications, the following:

a. The notary shall inform clients promptly and clearly about the financial consequences of his engagement.

b. If more work than usual is carried out, the notary shall be authorised to charge a higher amount than the usual. The notary shall inform clients in good time when more costs than agreed will be charged.

c. The notary may not charge the cost of his work to another assignment, other part of the assignment or to another person other than the client.

d. If an assignment is cancelled prematurely by the client, a fee is payable in proportion to the time spent on the assignment.

e. The notary is authorised to charge, in advance of the work or in the interim of the work in progress.

f.        Wanneer het passeren van een akte wordt uitgesteld nadat passeerdatum en/of  -tijdstip reeds zijn vastgesteld, wordt ten minste € 250,00 exclusief btw in rekening gebracht.

g.       Voor het met spoed afhandelen van dossiers wordt een toeslag van tenminste € 250,00 exclusief btw in rekening gebracht. Indien een zaak binnen 14 werkdagen moet worden afgewerkt geldt die zaak als een spoedzaak.

h.       Een toeslag van tenminste € 250,00 exclusief btw kan in rekening worden gebracht op piekmomenten van het jaar. Dit wordt vooraf aangekondigd.

i.        Betaling van declaraties dient te geschieden voor het passeren van de akte en bij advies binnen veertien dagen na factuurdatum, tenzij anders overeengekomen of anders vermeld (bijv. vooruitbetaling). Bij overschrijding van deze termijn is de cliënt in verzuim en is een vertragingsrente gelijk aan de wettelijke rente verschuldigd. Indien invorderingsmaatregelen tegen de in verzuim zijnde cliënt worden getroffen, komen de kosten vallende op die invordering voor rekening van de cliënt.

j. Regarding third-party money account: debit and/or credit interest imposed by banks, may be charged or reimbursed to client.

8. All clauses of these General Conditions are also made for the benefit of the directors of the practice company and of all the junior civil-law notaries and all other persons working at, for or on behalf of the civil-law notary.

10. The legal relationship between the notary and the client shall be governed exclusively by Dutch law. Disputes shall be exclusively settled either by the competent Dutch court or by the Disputes Committee.

11. The notary shall comply with all existing professional and conduct rules. An explanation of these rules can be found in the consumer brochure drawn up by the KNB in consultation with the Consumers' Association and Vereniging Eigen Huis, 'Rules of the Game for Notaries and Consumers'.
